Terms of Service

1. Acceptance of Terms

By accessing or using the Zenvrix platform ("Service"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. These Terms constitute a legally binding agreement between you and Zenvrix Technologies Pvt. Ltd. ("Zenvrix"), a company incorporated under the Companies Act, 2013 with its registered office in Bangalore, Karnataka, India. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Zenvrix provides an AI-powered admission management platform that includes: AI chatbots and voice agents for student inquiry response, WhatsApp Business API integration, campaign automation tools, analytics dashboards, and an omnichannel inbox for managing student communications. The Service is provided on a subscription basis as detailed in your selected pricing plan. Features available depend on your subscription tier (Starter, Growth, or Enterprise).

3. Account Registration and Responsibilities

You must register for an account to use the Service. You agree to: - Provide accurate and complete registration information - Maintain the security of your account credentials - Notify us immediately of any unauthorized use of your account - Take responsibility for all activity that occurs under your account - Not share account credentials with unauthorized individuals You are responsible for all actions taken by users you add to your account ("Team Members"). Ensure Team Members comply with these Terms.

4. Subscription, Billing, and Cancellation

**Payment terms:** Subscription fees are charged monthly or annually in advance. Payments are processed via Razorpay. All prices are in Indian Rupees (INR) and include applicable GST. **Free trial:** We offer a 14-day free trial with access to Growth plan features. No credit card is required for the trial. After the trial, you must subscribe to continue using the Service. **Upgrades/Downgrades:** You may change your plan at any time. Upgrades take effect immediately. Downgrades take effect at the next billing cycle. **Cancellation:** You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused subscription periods, except where required by law. **Late payments:** Accounts with failed payments will be suspended after 7 days. Data is retained for 90 days following suspension before permanent deletion.

5. Acceptable Use

You agree not to use the Service to: - Send unsolicited commercial messages (spam) in violation of applicable law or WhatsApp's policies - Engage in misleading, fraudulent, or deceptive communication with students - Collect or process personal data in violation of applicable privacy laws - Violate any applicable law, regulation, or third-party rights - Interfere with or disrupt the Service or servers connected to the Service - Reverse engineer, decompile, or attempt to extract source code from the Service - Resell, sublicense, or provide the Service to third parties without authorization - Send messages to contacts who have opted out of communications Violations of this section may result in immediate account suspension without refund.

6. Data Ownership and License

**Your data:** All student inquiry data, institution data, and conversation data you enter into the Platform ("Customer Data") remains your property. You grant Zenvrix a limited license to process Customer Data solely to provide the Service. **AI training:** We may use anonymized, aggregated, and de-identified data derived from usage patterns to improve our AI models. We will never use your identifiable Customer Data to train models for other customers. **Data export:** You may export your Customer Data at any time from the Platform in CSV format. Upon cancellation, you have 30 days to export data before it is permanently deleted. **Our intellectual property:** Zenvrix owns all intellectual property in the Platform, including AI models, code, designs, and documentation. Nothing in these Terms grants you ownership of Zenvrix IP.

7. WhatsApp Business API Usage

Your use of WhatsApp Business API features through Zenvrix is subject to Meta's WhatsApp Business Policy and Commerce Policy. You agree to: - Only send messages to contacts who have opted in to receive communications - Use only Meta-approved message templates for outbound campaigns - Not use the WhatsApp API for spam, illegal content, or policy-violating messages - Maintain records of consent for all contacts messaged Zenvrix is not responsible for WhatsApp number suspensions resulting from your policy violations. We will not refund subscription fees due to WhatsApp-related suspensions caused by your actions.

8. Warranties and Disclaimers

Zenvrix warrants that the Service will be available with at least 99.5% monthly uptime (99.9% for Enterprise plans) as measured by our monitoring systems. We will credit accounts proportionally for any downtime below this threshold upon written request. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: (a) the Service will meet all your requirements; (b) AI responses will be 100% accurate; (c) the Service will be uninterrupted or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZENVRIX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST ENROLLMENTS. IN ALL CASES, ZENVRIX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ZENVRIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law and Disputes

These Terms are governed by the laws of India, specifically the jurisdiction of Bangalore, Karnataka. Any dispute arising under these Terms will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. Arbitration will be conducted in Bangalore. The language of arbitration will be English. For claims under ₹50,000, either party may use the consumer courts under Indian consumer protection laws.

11. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to your registered account email. Continued use of the Service after the effective date of changes constitutes acceptance. If you object to the changes, you may cancel your subscription before the effective date and receive a pro-rated refund for the unused portion of your current billing period.
